SOLE AND EXCLUSIVE MANDATE AGREEMENT
Made and entered into by and between

1.
The undersigned client/seller/mandator hereby irrevocably instructs and authorizes NAME to find a purchaser for the
under mentioned business and/or property as identified below, upon the following terms and conditions -

Occupation of the said business and/or property shall be given to the purchaser on registration of new ownership or
otherwise by mutual agreement in writing and signed by both parties.
3.
It is hereby recorded that it shall be full and sufficient performance of the mandate if the broker/agent/mandatee finds a
Purchaser willing and able to purchase on the terms and conditions as set out above, notwithstanding that no actual sale
may be effected as a result of some act or omission on the part of the client/seller/mandator and the
client/seller/mandator hereby irrevocably appoints NAME to be the sole selling agent of the above-mentioned business
and/or property with effect as from today’s date and expiring on the DATE.
4.
The client/seller/mandator undertakes to pay NAME commission of X % excluding/including (relevant tax, if
applicable), of the gross value of the transaction plus the value of any liabilities assumed by the agent/broker/mandatee
and irrevocably authorise them to deduct the said commission from the deposit or any funds held in respect of this
transaction on registration of the transfer of ownership.
5.
5.1. The client/seller/mandator further agrees to pay the broker/agent/mandatee commission as above, in the event of
any of the following applying:
5.1.1. The direct sale of the business by the client/seller/mandator or through any other agent during the period of this
mandate; or
5.1.2.The sale of the business after the expiry date of this mandate to any person introduced by the
broker/agent/mandatee to the client/seller/mandator or to any person introduced by the client/seller/mandator to the
business during the period of the mandate; or
5.1.3. Should the client/seller/mandator withdraw, cancel or commit any breach of this authority during the period
hereof.
6.
No addition to, variation of, or agreed cancellation of this Sole Authority shall be of any force or effect unless in writing
and signed by me or on behalf of the parties.
7.
As and when required I undertake to furnish NAME with all applicable financial information and supporting documents
in respect of the business and/or property, which we warrant as being correct.
8.
The client/seller/mandator acknowledges that he/she/it though its lawfully authorized representative/s have read the
Sole Authority to sell,understand it and accept the contents therein and agree to be bound thereto.

apresentação ao vendedor, no prazo estabelecido para tal, da documentação fiscal competente; e (iii) pelos danos
ou prejuízos de qualquer natureza, sofridos pelo vendedor, por V. Sas. ou pela BM&F, decorrentes de atrasos no
cumprimento das obrigações acima ou de seu descumprimento.

Speculators are funds or individual investors who can either buy or sell commodities by participating in the global commodities market. consent.
4. Compensation
It is understood that the commissions payable shall be the obligation of the Seller. [Buyer shall pay Broker

5. Non-Circumvention

This Agreement pertains to all properties on which the Broker may enter negotiations during the term
specified above, or within [30/60/90/other] days of expiration of this Agreement.
6. Cooperation with Other Brokers
If applicable, the Broker agrees to solicit cooperation of other competent Industrial / Commercial Brokers
so that all suitable properties will be presented.
7. Diligence
In consideration of the Buyer's Agreement, the Broker agrees to use diligence in locating a property
acceptable to the Buyer, and to negotiate terms and conditions for the purchase of the above described
property or for obtaining an option on the above described property acceptable to the Buyer.
8. Confidentiality
The Buyer and the Seller understand and acknowledge that violation of their respective covenants and
Agreements may cause the other irreparable harm and damage, that may not be recovered at law, and each
agrees that the others remedies for breach may be in equity by way of injunctive relief, as well as for
damages and any other relief available to the non-breaching party, whether in law or in equity.
9. General Provisions
9.1 Independent Contractors. The relationship between both parties established by this Agreement is
that of independent contractors, and nothing contained in this Agreement shall be construed to give either
party the power to direct and control the day-to-day activities of the other. Neither party is an agent,
representative or partner of the other party. Neither party shall have any right, power or authority to enter
into any agreement for, or on behalf of, or incur any obligation or liability of, or to otherwise bind, the
other party. This Agreement shall not be interpreted or construed to create an association, agency, joint
venture or partnership between the parties or to impose any liability attributable to such relationship upon
either party.
9.2 Publicity. Neither party will make any public announcement or issue any press release concerning
the terms of this Agreement without the prior approval of both parties.
9.3 Non-Solicitation. Neither party shall solicit for employment or hire the other’s current or future
employees, either directly or indirectly, during the Term of this Agreement, without obtaining the other’s
prior written approval. Should an employee change employment from one party to the other, the new
employer shall pay the old employer a fee equivalent to Twenty Percent (20%) of the employee’s new
compensation, annualized for the first year.
9.4 Governing Law & Jurisdiction. This agreement and the parties’ actions under this Agreement shall
be governed by and construed under the laws of the state of [State], without reference to conflict of law
principles. The parties hereby expressly consent to the jurisdiction and venue of the federal and state courts
within the state of [State]. Each party hereby irrevocably consents to the service of process in any such
action or proceeding by the mailing of copies thereof by registered or certified mail, postage prepaid, to
such party at its address set forth in the preamble of this Agreement, such service to become effective thirty
(30) days after such mailing.
9.5 Entire Agreement. This Agreement, including the attached exhibits, constitutes the entire Agreement
between both parties concerning this transaction, and replaces all previous communications,
representations, understandings, and Agreements, whether verbal or written between the parties to this
Agreement or their representatives. No representations or statements of any kind made by either party,
which are not expressly stated in this Agreement, shall be binding on such parties.
9.6 All Amendments in Writing. No waiver, amendment or modification of any provisions of this
Agreement shall be effective unless in writing and signed by a duly authorized representative of the party
against whom such waiver, amendment or modification is sought to be enforced. Furthermore, no

provisions in either party’s purchase orders or in any other business forms employed by either party will
supersede the terms and conditions of this Agreement.
9.7 Notices. Any notice required or permitted by this Agreement shall be deemed given if sent by
registered mail, postage prepaid with return receipt requested, addressed to the other party at the address
set forth in the preamble of this Agreement or at such other address for which such party gives notice
hereunder. Delivery shall be deemed effective three (3) days after deposit with postal authorities.
9.8 Costs of Legal Action. In the event any action is brought to enforce this Agreement, the prevailing
party shall be entitled to recover its costs of enforcement including, without limitation, attorneys’ fees and
court costs.
9.9 Inadequate Legal Remedy. Both parties understand and acknowledge that violation of their
respective covenants and Agreements may cause the other irreparable harm and damage, that may not be
recovered at law, and each agrees that the other’s remedies for breach may be in equity by way of
injunctive relief, as well as for damages and any other relief available to the non-breaching party, whether
in law or in equity.
9.10 Arbitration. Any dispute relating to the interpretation or performance of this Agreement shall be
resolved at the request of either party through binding arbitration. Arbitration shall be conducted in
[County], [State] in accordance with the then-existing rules of the American Arbitration Association.
Judgment upon any award by the arbitrators may be entered by any state or federal court having
jurisdiction. Both parties intend that this Agreement to arbitrate be irrevocable.
9.11 Delay is Not a Waiver. No failure or delay by either party in exercising any right, power or remedy
under this Agreement, except as specifically provided in this Agreement, shall operate as a waiver of any
such right, power or remedy.
9.12 Force Majeure. In the event that either party is unable to perform any of its obligations under this
Agreement or to enjoy any of its benefits because of any Act of God, strike, fire, flood, governmental acts,
orders or restrictions, Internet system unavailability, system malfunctions or any other reason where failure
to perform is beyond the reasonable control and not caused by the negligence of the non-performing party
(a “Force Majeure Event”), the party who has been so affected shall give notice immediately to the other
party and shall use its reasonable best efforts to resume performance. Failure to meet due dates resulting
from a Force Majeure Event shall extend such due dates for a reasonable period. However, if the period of
nonperformance exceeds sixty (60) days from the receipt of notice of the Force Majeure Event, the party
whose ability to perform has not been affected may, by giving written notice, terminate this Agreement
effective immediately upon such notice or at such later date as is therein specified.
9.13 Assignability & Binding Effect. Except as expressly set forth within this Agreement, neither party
may transfer or assign, directly or indirectly, this Agreement or its rights and obligations hereunder without
the express written permission of the other party, not to be unreasonably withheld; provided, however, that
both parties shall have the right to assign or otherwise transfer this Agreement to any parent, subsidiary,
affiliated entity or pursuant to any merger, consolidation or reorganization, provided that all such assignees
and transferees agree in writing to be bound by the terms of this Agreement prior to such assignment or
transfer. Subject to the foregoing, this Agreement shall be binding upon and inure to the benefit of the
parties hereto, their successors and assigns.
9.13 Non-Assignability & Binding Effect. Except as otherwise provided for within this Agreement,
neither party may assign any of its rights or delegate any of its obligations under this Agreement to any
third party without the express written permission of the other. Any such assignment is deemed null and
void.
9.14 Severability. If any provisions of this Agreement are held by a court of competent jurisdiction to be
invalid under any applicable statute or rule of law, they are to that extent to be deemed omitted and the
remaining provisions of this Agreement shall remain in full force and effect.
9.15 Cumulative Rights. Any specific right or remedy provided in this Agreement will not be exclusive

but will be cumulative upon all other rights and remedies described in this section and allowed under
applicable law.
9.16 Headings. The titles and headings of the various sections and sections in this Agreement are intended
solely for convenience of reference and are not intended for any other purpose whatsoever, or to explain,
modify or place any construction upon or on any of the provisions of this Agreement.
9.17 Counterparts. This Agreement may be executed in multiple counterparts, any one of which will be
considered an original, but all of which will constitute one and the same instrument.
9.18 Survival of Certain Provisions. The warranties and the indemnification and confidentiality
obligations set forth in the Agreement shall survive the termination of the Agreement by either party for any
reason.

CONTRATO DE COMISSIONAMENTO DE INTERMEDIAÇÃO DE NEGÓCIOS



1. Este acordo é construído e registrado pelas partes abaixo assinadas e deverá ser totalmente cumprido, interpretado e governado pelas regras da Câmara de Comércio Internacional, Paris, França (I.C.C. - 500). A linguagem de todo este acordo estará em todas as suas cláusulas, elaborada como um todo harmônico com o seu próprio significado.


2. Em consideração com a promessa mútua abrangida aqui, as partes abaixo assinadas concordam em estarem legalmente obrigadas, e pelo presente combinam irrevogavelmente entre si em não enganar, abster-se ou desviar, direta ou indiretamente, quanto ao logro do pagamento das remunerações e/ou comissões ou de qualquer outra forma beneficiar-se, seja financeiramente ou de qualquer outro modo, por meio de qualquer sociedade anônima ou de outra sociedade de bens em conexão com esse presente acordo, e, por meio deste promover quaisquer adições, renovações, extensões, emendas, re-assinaturas ou rolar créditos referentes a esse acordo e a qualquer projeto comprometido pelo presente instrumento.


3a. As partes abaixo assinadas concordam em não divulgar ou por qualquer outro meio não revelar para uma terceira parte qualquer informação confidencial provida pela outra, e em particular para aquelas pertencentes a financiadores, vendedores, credores, compradores, bem como seus nomes e endereços, telex, e-mails, fax, números de telefones, ou de qualquer outro meio de acesso aqui expresso, incluindo informação bancária, código, referência e/ou informações privilegiadas, sem o específico consentimento por escrito das partes.

3b. Não tolerando qualquer aspecto contrário ao contido no parágrafo 3A acima, as partes abaixo assinadas não terão responsabilidade determinada aqui para a divulgação: (i) em resposta a uma ordem ou citação emitida por uma corte de jurisdição competente, (ii) para os serviços de contabilidade das partes abaixo assinadas e/ou (iii) para estender tais divulgações quando necessárias para relatório de rendimento às autoridades tributárias. Se a divulgação é necessária segundo itens i, ii, ou iii acima, as partes abaixo assinadas deverão considerar a terceira parte para quem tal divulgação é feita e sobre a natureza confidencial da informação e usarão de esforços razoáveis e de boa fé para garantir a confidencialidade de qualquer informação provida para essa terceira parte.

4. Em qualquer disputa entre as partes, seja ou não resultante em litígio, a parte prevalecente terá o direito de recuperar da outra parte todos os custos, incluindo remunerações dos advogados. As partes acordam que na eventualidade de uma disputa, elas usarão a máxima boa-fé no esforço de mutuamente aceitarem resoluções comerciais para as suas diferenças.

5. Os termos deste acordo serão renovados por cada cinco (5) anos a partir da data afixada abaixo e são aplicados para todas e quaisquer transações, presentes ou futuras, durante esse mesmo período, e incluirão todos os presentes projetos, transações, adições bem como renovações, extensões, giros de créditos, emendas, renegociações, novos contratos, ou assinaturas de terceiras partes e será construído um “addendum” para cada projeto que deverá ser confirmação por escrito, por fax ou e-mail e deverá envolver todas as partes designadas no acordo.

6. As partes aqui concordam que a transmissão da comunicação por fax ou e-mail é considerada como documento válido e original. Este acordo pode ser executado em uma ou mais de suas contrapartidas, cada uma das quais será intitulada como um original. Todas as regras e provisões de não-logro e de não divulgação estão em vigor e serão aplicadas a todas as partes, para esta e para outras transações e estão relacionadas a todas as partes por um período de cinco (5) anos a partir da data de execução deste acordo.

7. Os abaixo assinados acordam em notificar as outras partes por fax ou por outros meios expressos de comunicação antes de um pedido para qualquer novo contrato e sobre a obtenção de acordos e/ou termos de esclarecimentos, para qualquer controvérsia, reclamação ou disputa que possa surgir, e mesmo aquelas referentes à infração do presente instrumento e que não estejam estabelecidas entre os próprios signatários, que, deverão então ser estabelecidas por arbitragem de acordo com as regras do I.C.C. ou por arbitragem de acordo com a lei Inglesa ou por qualquer outra entidade que tenha jurisdição legal sobre a matéria.

ASWP – Any Safe World Port - Qualquer Porto Seguro do Mundo - É bastante comum para os vendedores de cimento oferecer a entrega em qualquer porto seguro mundo da escolha do comprador.
BG – Bank Guarantee - Garantia Bancária - É um instrumento financeiro emitido por um banco em nome dos seus clientes em benefício da outra parte com quem o cliente do banco contrai uma obrigação financeira. No caso de o cliente do banco não fazer o pagamento de um contrato, o beneficiário da garantia bancária pode recorrer à garantia bancária e receber este pagamento.
BG 100% Payable Instrument – Este é um tipo de garantia bancária que reúne várias condicionantes. Deve ser emitido ou garantido por um banco mundial “top 25”, é irrevogável, aceita, e transferível. Ela também deve cobrir a totalidade do montante do contrato, e deve ser paga à vista, mediante apresentação de documentos reconhecidos.
Bill of Lading (B/L) - Conhecimento de Embarque - É um contrato que define as condições do transporte de um carregamento. Este contrato é estabelecido pelo transportador e entregue ao exportador (vendedor) quando o carregamento é recebido e colocado a bordo do navio. O conhecimento de carga é um documento essencial, pois prova que o produto foi realmente enviado, e que a transportadora assumiu a responsabilidade por garantir a entrega ao comprador. Para solicitar o pagamento pelo carregamento usando uma carta de crédito, o vendedor deverá entregar o B/L (conhecimento de embarque) a um consignado ou ao banco emissor.
BCL – Bank Comfort Letter - Atestado Bancário de Capacidade Financeira – É uma carta emitida pelo banco do comprador para o vendedor. CIA – Cash In Advance - pagamento adiantado - É um tipo de venda em que o montante total do preço de compra de uma ordem deve ser pago antecipadamente. Este não é o procedimento padrão na indústria de comércio de cimento, e não é aconselhável o comprador pague adiantado pelo cimento que ainda não foi expedido.

Os nódulos são moídos a um pó fino para a produção de cimento, com uma pequena quantidade do gesso adicionado para controlar as propriedades de configuração.
Commodities Exchange – Esta é uma associação que rege as regras da negociação de uma jurisdição. Estar familiarizado com as orientações da bolsa de mercadorias nas jurisdições em que você está fazendo o negócio é sempre aconselhável.
Confirming Bank – Um banco de confirmação é um banco que concorda em honrar uma carta de crédito emitida por outro banco.
DC – Draft Contract – Um projecto de contrato é um contrato inicial, que é elaborado e enviado a partir do vendedor para o comprador. O comprador tem a oportunidade de fazer alterações e enviá-lo de volta para o vendedor, para apreciação. Esse processo continua até que ambas as partes estejam satisfeitas com os termos do contrato.
FCO – Full Corporate Offer – Proposta comercial completa - é emitida pelo vendedor quando os estágios preliminares de negociação foram finalizados, tais como emissão de uma carta de intenção pelo comprador, e a realização de uma “soft probe” (comprovação de fundos) em suas contas por parte do vendedor. Um FCO é um documento que define as condições da venda.
FOB – Free On Board - Se os termos de um comércio são FOB o vendedor é obrigado a ter o cimento entregue em um porto de escolha do comprador, a bordo de um navio que também é de escolha do comprador.
Formal (Final) Contract - Quando a fase de negociação do projeto de contrato estão completos e ambas as partes estão satisfeitas, então um contrato formal é elaborado e assinado por ambas as partes.
GOST Certification - GOST é o sistema de certificação de qualidade válido na Federação Russa (também pode ser denominado Certificação GOST-R). Certificação GOST é muito importante para as empresas russas e exportadores para a Rússia e é equivalente ao certificados ISO 9000 para as empresas ocidentais. GOST é o indicador de qualidade aprovado para a Rússia.
Certificação GOST não remete-se somente à gestão de qualidade da empresa, mas também os produtos originados dela. Em outras palavras, para a obtenção destes certificados são necessários os testes de amostras. Estes testes são feitos em laboratórios credenciados pelo GOSSTANDARD (Russian Governmental Standards Organization). Aprovados nos testes,os certificados são concedidos à empresa que os solicitou.
ICPO – Irrevocable Corporate Purchase Order - Trata-se de um documento elaborado por compradores comerciais, e contém os detalhes de quantidades, o tipo de cimento e outras condições necessárias nos termos que o comprador gostaria que se proceda a venda. Após submetida ao vendedor, este é considerado oficial e a empresa é obrigada a concluir a venda.
ICPO With Banking Coordinates - Esta é uma ICPO que inclui detalhes bancários da empresa para que o vendedor possa realizar uma soft probe em suas contas para para certificar-se de que existem fundos suficientes para cobrir o custo da compra.
Irrevocable Letter of Credit - Carta de Crédito Irrevogável - É um documento emitido pelo banco do comprador para o vendedor, que garante o pagamento mediante a apresentação de documentação estipulada. Como um documento irrevogável, ele não pode ser cancelado, e o banco do comprador é legalmente obrigada a fazer o pagamento no momento em que o beneficiário satisfaça as condições estabelecidas na carta de crédito.
Irrevocable Confirmed Letter of Credit – É uma Carta de Crédito Irrevogável confirmada por outro banco, normalmente na jurisdição do beneficiário. O Banco de Confirmação é um banco que se compromete a fazer o pagamento da carta de crédito em nome do banco emissor no momento em que o beneficiário satisfaça as condições descritas na carta de crédito.
Issuing Bank - O banco emissor é o banco do comprador, que emite as garantias bancárias e cartas de crédito em nome do seu cliente.
LC/LOC – Letter of Credit - As cartas de crédito são documentos emitidos pelo banco do comprador para o vendedor, que garantem o pagamento ao beneficiário da carta de crédito (o vendedor), desde que os termos e condições estabelecidos na carta de crédito sejam cumpridos. Isso geralmente significa apresentar documentação estipulada a um banco dentro de um prazo definido.

POF – Proof of Funds - Normalmente a prova de recursos é obtida através da realização de uma soft probe sobre as contas do comprador. Prova de fundos é normalmente exigido por um vendedor para continuar com a negociação de uma venda de cimento.
PB – Performance Bond - Este é um tipo de garantia bancária, que é emitido do vendedor para o comprador. Ele garante que o vendedor irá cumprir os termos do contrato. Normalmente, emitido no valor de cincoo por cento do montante total do contrato, uma caução pode ser acionada pelo comprador, no caso em que o vendedor quebre o contrato e não forneça o cimento que foi estipulado no contrato.

RWA – Ready Willing and Able – Pronto, disponível e apto - Este é um documento que é emitido pelo banco do comprador. O banco confirma que seu cliente tem os fundos suficientes na sua conta e está disposto e capaz de assumir o contrato.
SBLSC – Standby Letter of Credit - Uma carta de crédito em espera é uma carta de crédito que funciona como uma garantia do banco do comprador que existem fundos suficientes no local para cobrir todas as despesas da remessa. Cartas de crédito em espera não são normalmente utilizadas. Se um vendedor deseja ter o pagamento garantido pelo banco do comprador, uma carta de crédito normal é utilizada.
Sight LOC – Sight Letter of Credit - Esta é uma carta de crédito paga mediante a apresentação de carta de crédito, bem como documentação complementar, conforme estipulado na carta de crédito.
SWIFT – Society for Worldwide Inter bank Financial Telecommunication - Este é um serviço globalizado que é responsável por facilitar a comunicação entre os bancos. A maioria dos pagamentos são feitos via SWIFT.
SGS Inspection – SOCIETE GENERAL DE SURVEILLANCE. Antes do cimento deixar o porto de venda, uma inspecção é efetuada pela SGS, a companhia independente de inspecção mais respeitada no mundo do cimento. Inspecções SGS garantem tranquilidade ao comprador, que pode ser assegurado que o produto é de alta qualidade, se for avalisada por inspectores da SGS.
Soft Probe - É um método de confirmação utilizadas pelos bancos para que um vendedor possa avaliar a capacidade de endividamento de um comprador. Tal consulta não é registrada no cadastro bancário do comprador e nada mais além da confirmação ou não de disponibilidade de saldo é passada ao vendedor.
SONCAP-NIGERIA - O objetivo do SONCAP é identificar os produtos que apresentam risco para os consumidores na Nigéria garantindo que a segurança dos pedidos seja verificada antes de serem importados. Isso ajudará a garantir proteção aos consumidores da Nigéria contra produtos inseguros ou de qualidade inferior, bem como assegurar que os fabricantes do país não sofram concorrência desleal por parte de tais bens.
Desde 01 de setembro de 2005 a SONCAP tornou-se obrigatória para os produtos dentro da sua área de atuação. Estes produtos são conhecidos como Produtos Regulamentados e uma falha por parte dos exportadores no cumprimento à SONCAP em relação a esses produtos pode resultar na rejeição de bens ou de testes adicionais e atrasos nos portos da Nigéria. SONCAP é independente e complementar para qualquer processo existente de importação, assim como o PSI.
A apresentação de Certificação SONCAP, que consiste de um Certificado de Produto e Certificado SONCAP será o meio através do qual o programa será aplicado. Ambos os itens são documentos de autorização obrigatórios para os produtos regulamentados, além de toda a documentação PSI.
Código Swift MT 799 - Na negociação de cimento há vários documentos e formulários solicitados por ambas as partes. Um dos documentos mais comumente solicitados, mas pouco compreendido é a MT-799. Muitos vendedores de cimento irão solicitar do comprador uma MT-799, antes de fornecer a prova do produto, ou avançar na negociação.
A MT-799 é um tipo de mensagem SWIFT de formato livre, em que uma instituição bancária confirma que há disponibilidade de fundos para cobrir uma negociação potencial. Isto pode, por vezes, ser usado como um compromisso irrevogável, dependendo da linguagem utilizada na MT-799, mas não é uma promessa de pagamento ou qualquer outra forma de garantia bancária em seu formato padrão. A função da MT-799 é simplesmente garantir ao vendedor que o comprador dispõe dos fundos necessários para completar a operação.
A MT-799 é normalmente emitida antes de um contrato ser assinado e antes de uma carta de crédito ou garantia bancária ser emitida. Uma vez a MT-799 sendo recebida pelo banco do vendedor, então é a vez do banco do vendedor para enviar um POP (prova do produto) para o banco do comprador, momento em que a negociação tem efetivamente início.
O método de pagamento usual é uma carta de crédito documentário, que o vendedor apresenta ao banco emissor ou a confirmação, juntamente com os documentos de embarque. Uma vez que o banco confirma os documentos, o vendedor é pago. Um método alternativo é a utilização de uma garantia bancária no lugar de uma carta de crédito. Fica, normalmente, a critério do vendedor o método de pagamento a ser utilizado.
Uma MT-799 é uma mensagem automática enviada por via eletrônica a partir de um banco para outro, assim você não irá realmente "ver" uma MT-799. A papelada associada a uma MT-799 vai variar de banco para banco, embora a maioria siga um processo semelhante.
Swift MT103 - são a forma mais comumente utilizada de comunicação expressa, e que muitas pessoas têm utilizado, mesmo sem conhecer. Para a maioria dos clientes do banco, eles não são conhecidos como MT-103, mas sim como transferências bancárias, transferências telegráficas, ou transferências SWIFT. A SWIFT MT-103 é utilizada pelo banco quando os seus clientes desejam fazer o pagamento para os clientes de outro banco em outro país.
Swift MT-760 - esta é um tipo de mensagem SWIFT que às vezes é solicitado no comércio de cimento, porque funciona bem como uma garantia bancária, embora carregue consigo um nível muito mais elevado de risco para o emissor (normalmente o comprador) e um nível reduzido de risco para o receptor (o vendedor). Essencialmente, a MT-760 é uma mensagem SWIFT, que garante que um banco fará o pagamento em favor de um cliente de outro banco. Quando uma MT-760 é emitida, o banco emissor faz um bloqueio na conta de seu cliente, garantindo assim que os fundos estão disponíveis para fazer o pagamento ao beneficiário da MT-760.
Transferable Letter of Credit - Uma carta de crédito transferível é uma carta de crédito que o beneficiário pode usar para transferir uma parte dos fundos da carta de crédito para terceiros. Isto é comumente utilizada no caso de vendedores para pagar aos seus fornecedores finais.
Porque instrumentos de pagamento em 14 ou 16 meses? - A razão de 14 meses e 15 dias é porque se em um contrato de 12 meses um instrumento de pagamento é emitido hoje, o produto somente será carregado após até 45 dias – são necessários portanto, 13 meses para efetuar 12 meses de transferências – assim, é sempre considerada uma margem caso as transferências levem 13 ou 14 meses em atrasos imprevisíveis, ou porque o comprador não pode descarregar navios, ou outro.

PROCEDURE (Non-Negotiable):

1. Seller/Seller's mandate forward Full Corporate Offer (F.C.O) along with formats of bank capability and format of payment Guarantee for the payment of commission to the royality and to the Buyer Mandate.

2. Buyer returns the FCO and formats duly signed and accepted along with an ICPO having full bank details (TOP 20) and major AAA Bank, which acceptable from the Seller. ICPO to be addressed to ARAMCO, C.C.S.Z. Salimpour (aka USGS), W. xxxxxxxxx xxxx, xxx and must confirm financial capability as well as include details of the refinery, refinery codes processing and storage capacity.

3. Seller Mandate response with draft of Sale/Purchase Copy of Contract for the Buyer to sign.

4. Seller Mandate arranges for exchange document as below:

a. Buyer's bank capability as per specified format, duly issued by TOP20 major AAA Bank, which is acceptable from the Seller.
b. Buyer's bank lettel informing Seller Mandate that it will issue the bank guarantee as per specified format on a specified date in their bank after checking and verifying the codes with ARAMCO.

Against the above, same day and same time:

i) Seller Mandate will provide "Authority to Sell" document duly endorsed by the Chamber of Commerce, Saudi Arabia in original.
ii) Seller Mandate will provide "Mandatory Letter" in original issued by the Allocation Holder authorizing to sign the copy of contract on their behalf.

5. After successful completion of (4) above, Seller Mandate and Buyer sign the copy of Contract, agreeing in principal of all the articles.

6. After the Soft Copy of Contract has been signed and completed, Seller Mandate shall send the Soft Copy of Contract to the Allocation Holder, who in turn, shall have the contract registered in the name of Buyer with ARAMCO, within the maximum period of 15 banking days.

7. After the Hard Copy is registered in the name of the Buyer, the Seller/Seller's Mandate shall provide to the Buyer's/End User's Bank with genuine codes for verification from ARAMCO, the Buyer's bank shall be permitted a maximum of 24 hours from receipt to confirm and verify from ARAMCO.

8. Allocation Holder after registration of the Contract in the name of the Buyer with ARAMCO shall have the original contract having Seller Code, Contract Number, Allocation Number, Seller Bank Details, send to the Seller mandate through courier.

9. Immediately after receipt of the Contract in Original, Seller Mandate coordinate with Buyer/End User for Verification with ARAMCO and to be followed by signing of the hard copy by the Buyer.

10. After signing the hard copies in Buyer's Bank, simultaneously the Buyer's/End User's bank officer shall hand over to the Seller Mandate the Pay Order Guarantee as attached for the payment of commission to the royality and to the Seller Mandate.

Splitting of discount is as follows:

Gross: US $8.00 per barrel
Net: US $4.00 per barrel (Maximum Market Rate)
Buyer Mandate & Intermediaries: US $2.00 per barrel
Royality: US $1.00 per barrel (Closed)
Seller Mandate: US $1.00 per barrel (Closed)

The above discount could change on every Monday (London Time) based on the global crude market price fluctuation.
ONCE the Contract is signed then the Gross/Net Discount figures REMAIN CONSTANT during Contracts Term for 36 Months

11. Sellers bank sends to Buyer's bank a 2% non-operative perfomance bond that guarantees revolving six shipments in favor of Buyer L/C opener.

12. Immediately upon receipt of Non-Operative Perfomance Bond, the Buyer shall open a IRREVOCABLE, CONFIRMED, REVOLVING AND ONCE TRANSFERABLE (to ARAMCO) OPERATIVE DOCUMENTARY LETTER OF CREDIT TO BE OPENED TO SHOW AMOUNT FOR THE 36 MONTHS QUANTITIES OF THE CONTRACT. THIS LETTER OF CREDIT WILL HAVE VALUE EQUIVALENT TO ONE MONTH'S QUANTITIES BUT REVOLVING FOR THE ENTRY 36 MONTHS PERIOD OF THE CONTRACT, FROM A TOP 20 PRIME BANK, PAYABLE BENEFICIARY'S BANK AS SPECIFIED UNDER APPENDIX.

13. The 2% non-operative perfomance bond submitted by the Seller will be operative immediately after the letter of credit as mentioned in clause 12 above has reached and attached and accepted at Seller's Bank

14. The bellow mentioned document will be sent by the Seller immediately after receipt of Letter of Credit from the Buyer:
a. Certificate of Authority to Sell
b. Certificate of Availability of products
c. Delivery Schedule.

15. At the time of each lifting of delivery, the Buyer / End User (Letter of Credit Opener) must provide the port authority at port of loading, the following documents:

a. A copy of nominated vessels charter party under the name of LC opener (the Buyer must be end user).
b. Proof of Refinery or processing Agreement under the name of Opener (the Buyer must be end user).

16. The Parties to the contract enter into this cycle and shall proceed with the execution of mutually agreed schedule to its full implementation.

17. The validity of this document is only for FIVE (5) days from today (Dubai Time).

Proof of Funds service is not a loan, but is a perfect, inexpensive and fast way to add strength to your current financial profile, show reserves or buy time in your transactions.
The Swift terminology is MT799.

Different formats may include bank letters, phone/fax verification, online account access, verification of deposit form (VOD), bank to bank Swift, Certificates of Deposit (CD's) and/or account statements.

An essential document in the sugar trading negotiation process is the proof of product. The PoP is sent bank to bank, (from the seller’s bank to the buyer’s bank), and is documentary evidence that the product exists. The PoP is crucial from the buyer’s perspective, and buyers should care that the proof of product is authentic before agreeing to trade and/or signing any binding contracts.

Types of POP

There are many different types of Proof of Product, and a proof of product can include documentation such as a license to export sugar, which is issued by the Brazilian government, an approval to export – also issued by the Brazilian Government, a warehouse receipt indicating that sugar has been stored at a specific facility, a mill’s commitment to produce the product, or a carrier’s commitment to transport the product. SGS inspection certificates are also valid as a proof of product, and are probably the most reliable form of PoP, as SGS is an independent firm with an international reputation for honesty and reliability.

Sellers are sometimes reluctant to offer SGS certificates as a PoP, as SGS inspections are costly. If SGS inspection certificates are not available as a PoP, then be sure to ask for several of the above documents. Be aware that some types of documentation are more easily forged than others. For instance, a warehouse receipt from a foreign warehouse realistically carries very little weight unless it can be independently verified, and a carrier’s undertaking to transport the product does not prove the existence of the product as anyone can contract a carrier without providing proof to the carrier that the sugar exists.

POP Fraud

Unfortunately, PoP fraud does exist. In some cases fake PoP’s are issued by scam artists who wish to make off with the buyer’s funds in their entirety, and in other cases fake PoP’s are simply issued by brokers or mills wishing to entice the buyer further down the path towards sale before revealing that the original quantities are actually not available.

Because PoP’s can be fraudulently provided, it is important to do research on the seller you are dealing with. Have they had many successful sales over the years? Are there reliable references which can be examined? If yes, these are good indicators that a seller is trustworthy, and that the PoP can be believed. If, on the other hand, a seller or broker is new to the market with little to no references and no previous sale history, then the seller should be more willing to provide concrete proof of product and answer any questions a buyer may have.

Beware of the seller that will only send a single document, and beware of inconsistencies between documents, as inconsistencies can sometimes indicate fraud. For example, do the details on the license to export and the warehouse receipt match? It is not entirely uncommon for people to obtain or purchase old PoP’s and use them for the purposes of scamming buyers, so dates should also be checked.

If there is any doubt at all in your mind as to the authenticity of the PoP, then either obtain further information, or find a new seller. Buyers desperate to buy sugar at all costs are the ones who get caught up in scams and end up losing everything.

The PoP was fake, now what?

If you find that you have been issued with a fake PoP all may not be lost. If payment is to be made by letter of credit, then you have additional protection built into the trade. A seller will only be paid under the terms of the letter of credit after sugar has been shipped, and upon presentation of SGS certificates, a bill of lading, and other documentation. It is possible for these documents to be forged as well, but it is less common and harder to do. Even if the letter of credit is payable on sight, the bank is still allowed sufficient time to confirm authenticity of documents prior to making payment. If you are aware of a fake PoP having been issued, then it is highly unlikely that the sugar will have been sent and that the documentation will be accepted by the bank. If the contract is written correctly, a fake PoP will also void the contract, making the whole exercise pointless for the ’seller’.

Where one can loose money is in wiring down payments prior to delivery of sugar based on a fake PoP. For this reason it is highly advisable for the majority of buyers that no payment or guarantee of payment is made prior to the confirmed shipping of the sugar. Sellers may try to ask for down payments, or demand other forms of payment, but there is no need to deal with these persons. Standard sugar trading procedures do not require a down payment, simply a verified guarantee that payment will be made upon shipping of the sugar. At the time of writing it is estimated that there will be a global surplus of around 11 million tons in the 2008 period, so buyers should not waste their time with sellers trying to skew deals in their favor and put the buyer at unnecessary risk. If a buyer does not feel confident in the seller, their methods, or the documentation that has been provided, then the buyer is well advised to seek a different trading partner.

O contrato de seguro de crédito à exportação apresenta-se aos exportadores brasileiros como ferramenta preventiva contra prejuízos decorrentes tanto do inadimplemento dos compradores estrangeiros, conduta bastante típica neste tempo de crise, quanto dos riscos decorrentes de decisões políticas ou de fatos extraordinários. Aplica-se a todos os tipos de produtos. Seus custos são perfeitamente absorvíveis pelas operações internacionais.
Portanto, tal contrato oferece uma garantia importante para o desenvolvimento do comércio internacional brasileiro e para a conquista de novos mercados, sem que o exportador precise incorrer em riscos significativos.
Para que possa se prevenir adequadamente dos riscos comerciais, políticos e extraordinários decorrentes das vendas internacionais de bens e serviços, o exportador deve utilizar-se de consultoria jurídica para que, em primeiro lugar, sejam definidas claramente no contrato de seguro as obrigações a serem cumpridas antes, durante e depois da realização das exportações. A written statement expressing the intention of the undersigned to enter into a formal agreement, especially a business arrangement or transaction.
A letter that describes in detail a corporation's intention to act on something.
Preliminary agreement between two companies that intend to merge. Such a letter is issued after negotiations have been satisfactorily completed.

A letter of intent is essentially a document that summarizes the major ingredients of a proposed transaction, including the price, payment method, and important target dates (for contract signing and closing). In most cases, the letter of intent is not legally binding, but it is nonetheless regarded as a useful tool. As Charles F. Claeys observed in Small Business Reports, "the non-binding letter confirms that the buyer and seller have reached a sufficient 'meeting of the minds' to justify the time and expense of executing a final purchase and sale agreement." A letter of intent is most often utilized in situations in which one party is selling a business or facility to another, but the document may also be used to delineate the relationship in a supplier/customer agreement.
Although letters of intent are nominally nonbinding, business and legal experts still counsel business owners to be careful in crafting and using them. Claeys noted that "the case law of ever state is replete with disputes over the meaning of letters of intent. Most of these disputes stem from misperceptions about whether or not the letter binds one side or the other to complete the deal. In some cases, the courts have deemed the documents to be binding due to mistakes in their execution, forcing sellers to sell and buyers to buy when they wanted to back out of the deal."
Contents of a Standard Letter of Intent
There are a few basic steps that small business owners should make sure when putting together a letter of intent to make sure that the document is not a legally binding one. First of all, you should make certain that the letter of intent specifically states that the letter will eventually be superseded by a definitive purchase-and-sale contract that will be legally binding, and that the letter also includes a explicit statement that the letter itself is not legally binding. "If you neglect to state in the letter that you will not be bound legally until you sign a contract, the seller possibly could hold you against your will to the terms of the letter of intent," wrote Mark Pestronk in Travel Weekly. Another big mistake that small business owners sometimes make in fashioning letters of intent is to agree to a statement that says that they will negotiate toward a purchase and sale agreement "in good faith." According to Claeys, "it's virtually impossible to get out of a deal once you've included this language, since the seller need only ask for reasonable terms to meet the 'good faith' criteria. Therefore, the letter should never include the good faith provision in any form."
Non-binding letters of intent may also include most or all of the following elements:
• Total compensation offered, including breakdown (size of security deposit, down payment, seller-financed debt, bank debt)
• Warranties of clear and marketable title
• Detailed list of all liabilities and assets to be purchased
• Assurances of the validity and assumability of contracts (if applicable)
• Tax liability limitations
• Operating condition of all equipment and machinery at time of purchase
• Stipulations allowing buyer to adjust the purchase price in the event that: 1) undisclosed liabilities come due after settlement, and 2) actual inventory purchased does not match amount specified in sale agreement
• Provisions that the business passes any and all necessary inspections
• Provisions that final sale is contingent on verification of financial statements, license and lease transfers
• Provisions that final sale is contingent on obtaining financing for purchase
• Restrictions on business operations until final settlement
• Non-competition and advisory clauses (these are sometimes arranged in a separate document)
• Allocation of purchase price
• Date for settlement (may also include "drop dead" date at which both sides agree to discontinue negotiations)
Business experts say, however, that most letters of intent are primarily concerned with delineating only the major terms of the transaction. Indeed, a small business owner who ends up negotiating numerous minor details in a letter of intent may as well skip the step entirely and proceed directly to a binding purchase and sale agreement.
Major terms that should be included in a letter of intent, however, include total price to be paid, including down payment and installment payments; description of assets or stock to be sold; tax allocation of the price among fixed assets, goodwill, noncompete covenants, and consulting fees; and target dates for contract signing and closing. Of these components, price and payment terms are easily the most important elements of the letter.
Advantages and Disadvantages of Letters of Intent
There are certain advantages associated with signing letters of intent for sellers. After all, a signed letter—even if legally non-binding—does signal that the prospective buyer is truly interested in making a deal, thus saving the seller from incurring unnecessary expenses to accountants and attorneys. Indeed, if a seller consents to sign a letter of intent, he or she can take comfort in the fact that it gives the prospective buyer a better chance of securing financing for the purchase (lenders tend to be favorably inclined toward borrowers who arrive armed with letters of intent).
But according to Claeys, "the disadvantages of the letter [for the seller] usually outweigh the advantages." He pointed out that once a prospective buyer has a signed letter in hand, he or she "tends to terminate its 'courtship' of the seller and toughen its stance on the details that remain to be worked out, including the seller's representations and warranties about how the business is doing, the indemnities for a breach of these representations, and covenants about how the business will be run prior to the change of ownership." Of course, the above-mentioned factors also tend to make letters of intent popular with buyers.
Some prospective buyers request that a "no-shop clause" be inserted into the language of the letter of intent. This clause, when implemented, basically means that the seller agrees not to offer the assets or stocks that are for sale to anyone else for a set period of time. Sellers often refuse to include such a clause, because it means that they are turning away other potential buyers for the duration of the agreed-upon period (usually 60 or 90 days) even though the buyer making the no-shop request is not yet obligated to make the purchase (remember the letter of intent, when constructed correctly, is nonbinding).
One option for sellers who face this type of request is to ask the buyer for a deposit in return. This money can be used by the seller to cover his or her legal and accounting expenses if the deal ultimately fails to come together. Buyers may balk at this condition, however, reasoning that both parties are responsible for their pre-transaction costs.
Letters of Intent for Suppliers and Customers
Although letters of intent are primarily associated with purchases of entire businesses, they can also be used to delineate expectations between business suppliers and customers. These can be especially useful to businesses that have suppliers upon which they are particularly reliant. Such a letter is "a guide rather than a contract," admitted Ernest L. Anderson Jr. in Purchasing, "but it does make clear the outlines of the partnership." Anderson and other business consultants note that customer/supplier letters of intent can discuss all aspects of the relationship, including:
• Supplier and purchasing obligations associated with maintaining adequate inventories of goods and materials
• Order-handling, billing, and delivery procedures
• Handling of price changes
• Allocation of responsibilities in such areas as material quality and acceptance
• Efforts to reduce costs (of materials purchased, for instance)
• Treatment of gifts, gratuities, and other perks to and from suppliers (most are rejected outright)
• Duration of agreement
A letter of intent or LOI is a document outlining an agreement between two or more parties before the agreement is finalized. The concept is similar to the so-called heads of agreement. Such agreements may be Asset Purchase Agreements, Share Purchase Agreements, Joint-Venture Agreements and overall all Agreements which aim at closing a financially large deal.
LOIs resemble written contracts, but are usually not binding on the parties in their entirety. Many LOIs, however, contain provisions that are binding, such as non-disclosure agreements, a covenant to negotiate in good faith, or a "stand-still" or "no-shop" provision promising exclusive rights to negotiate. A LOI may also be interpreted as binding the parties if it too closely resembles a formal contract.
The purposes of an LOI may be:
• to clarify the key points of a complex transaction for the convenience of the parties
• to declare officially that the parties are currently negotiating, as in a merger or joint venture proposal
• to provide safeguards in case a deal collapses during negotiation
A LOI may also be referred to as a memorandum of understanding (MOU), term sheet or discussion sheet. The different terms reflect different styles, but do not indicate any difference under law. A contract, in contrast, is a legal document governed by contract law.
There is however a specific difference between an LOI and MOU, whereby an LOI is the intent from one party to another and does not in this case have to be signed by both parties, whereas an MOU is an agreement between two or more parties, which should be signed by all parties to be valid.

• Education. In the United States, Letters of Intent are frequently reached between high school senior athletes and colleges and universities, which then reserve athletic scholarships for the athletes upon graduation.
• Academia. In academic settings Letters of Intent are part of the application process. There they are also known as Statement of purpose or Application Essay.
• Solicitation. A letter of intent (LOI) is highly encouraged but it is not required or binding, and does not enter into the review of a subsequent application. Often it is necessary to officially begin the process of a purchase and allow all peripheral interested parties to begin any other processes (such as a multi-million dollar loan for a commercial property may require a letter of intent before a financial institution will allow personnel to spend time working on said loan) necessary for the completion of the sale.
